Puraite Terms of Use for Organizations
Published: 8 November 2026.
Terms · Privacy · Refunds · Consumer terms · Subscriptions · Data processing
Version: 1.1. These Terms take effect for each Customer when that Customer validly accepts the published version. They do not apply retroactively. The published copy records its publication date; Puraite retains the accepted version and acceptance time. Existing contracts remain governed by their accepted terms until a change takes effect under section 17.
1. Parties and scope
1.1 These Terms of Use ("Terms") govern the use of the Puraite evidence synthesis platform at app.puraite.com and related services (the "Service").
1.2 The provider is Puraite GmbH, c/o Founders Foundation, Obernstraße 50, 33602 Bielefeld, Germany, registered with the Amtsgericht Bielefeld under HRB 46505, represented by its managing directors Schahin Baki Khoramabad and Karlson Pfannschmidt; VAT ID DE458701776; email contact@puraite.com ("Puraite", "we").
1.3 The customer is the company, university, research institution or other public body for which an Organization is used (the "Customer"). The Customer is named in the Organization's Billing Profile or, if there is none, in the details given when the Organization was set up.
1.4 Customers may also be private persons. The Consumer supplement forms part of these Terms and takes precedence for consumers, including over the institutional Customer definition in 1.3. The Subscription supplement forms part of these Terms for paid plans. Mandatory consumer rights always prevail.
1.5 Self-serve Top-ups are sold by Paddle as reseller (section 8.2). The purchase from Paddle is governed by Paddle's buyer terms. Use of the Service, including the Top-up usage, is governed by these Terms.
1.6 The Customer's own terms, including purchase terms, do not apply, even if Puraite does not object to them. Individually agreed terms, including an order form signed by both parties, take precedence over these Terms.
2. Definitions
- Organization: the workspace in the Service through which the Customer's members work together and share one Usage Budget.
- Member: a natural person whom the Customer has admitted to its Organization.
- Org admin: a Member with administrative rights in the Organization.
- Billing Manager: an Org admin, or a Member to whom an Org admin has granted the "Manage billing" permission.
- Purchaser: the Billing Manager who completes a purchase for the Organization.
- Billing Profile: the Customer details used for purchases and invoices: legal name, address, country, VAT ID if any, purchase order number, and billing email.
- Usage Budget: the AI usage an Organization may consume in one calendar month (UTC): its monthly AI budget, plus any Top-ups available that month.
- Top-up: an addition to an Organization's Usage Budget. A Purchased Top-up is bought by the Customer under section 8. Puraite may also grant additions at its discretion.
- Customer Content: all data the Customer or its Members upload to or create in the Service, including protocols, publication records and files, screening decisions, extraction data, notes and comments, and the AI output generated for the Customer.
- Direct Sale: a sale that Puraite invoices itself, outside Paddle.
3. How the contract is concluded
3.1 The Customer accepts these Terms when an Org admin activates the Organization or, for an existing Organization, when an Org admin accepts them in the Service. A Member accepts them for their own use of the Service when activating their account.
3.2 The person who accepts for the Customer confirms that they may do so (section 5 applies accordingly).
3.3 Puraite stores the version of these Terms that each Customer accepted and the time of acceptance. The current version is available at https://puraite.com/terms for viewing, printing and download.
3.4 The contract language is English.
4. Accounts and Organizations
4.1 Members must give accurate details and keep their login credentials confidential. The Customer is responsible for its Members' use of the Service.
4.2 Org admins decide who joins the Organization and which roles and permissions Members hold.
4.3 The Customer informs Puraite without delay if it suspects that an account is being misused.
5. Purchaser authority
5.1 Every purchase is made in the name of the Customer named in the Billing Profile. The invoice is issued to the Customer, whoever pays.
5.2 Before each purchase the Purchaser identifies whether they buy personally or represent the institution or company named in the Billing Profile. A representative confirms their authority. Work-related use alone does not make a personal purchase institutional. The Customer ensures that only authorized persons hold the "Manage billing" permission.
5.3 For an institutional purchase, these Terms create no personal payment obligation for the Purchaser acting as representative. If a Purchaser pays with a personal payment card, the payment is made for the Customer, and reimbursement is a matter between the Purchaser and the Customer.
6. The Service and the Usage Budget
6.1 The Service supports systematic reviews and other evidence synthesis: project and protocol management, import of publication records and files, screening, data extraction, analysis and export. Some functions use AI models from third-party providers (AI functions).
6.2 Each AI run consumes Usage Budget. Before a batch run starts, the Service shows an estimate of its consumption. Members see the Usage Budget as a percentage; the Service notifies Members when 80 % and 100 % of the month's Usage Budget are used.
6.3 Unused monthly AI budget does not carry over into the next month. Purchased Top-ups follow section 8.
6.4 Puraite may develop and change the Service, including the AI models used, for valid reasons such as technical progress, security, legal requirements, or a provider retiring a model. Changes must not reduce what a Purchased Top-up buys (section 8.6). Puraite announces changes that materially restrict existing functions at least 30 days in advance.
7. Academic access
7.1 Who qualifies. Academic access is available to universities, university hospitals, other public research institutions and non-profit research organizations. Puraite decides at onboarding whether an Organization qualifies.
7.2 Free of charge. Academic access costs nothing. It includes the use of the Service and AI usage up to the Organization's monthly AI budget.
7.3 Monthly AI budget. Puraite sets the monthly AI budget for academic Organizations. It renews at 00:00 UTC on the first day of each calendar month. Puraite may change it for future months; a change takes effect at the start of a calendar month and is announced at least 30 days in advance in the Service or by email.
7.4 When the budget runs out. When the month's Usage Budget is used up:
- no new AI run starts;
- an AI run in progress pauses at its next batch boundary, keeps its progress, and can be resumed once Usage Budget is available again;
- functions without AI remain available.
The Customer can wait for the next month, ask Puraite for more usage through "Request more usage", or buy a Top-up under section 8. Puraite has no obligation to grant more usage.
7.5 Duration. Academic access has no fixed end date, unless Puraite and the Customer agree an end date, for example for a pilot. It is subject to the inactivity rules in 7.6.
7.6 Inactivity. These rules apply to free academic Organizations. Paragraph h) also governs the end of agreed fixed-term access. They do not apply to Organizations with a paid license, nor while an Organization holds a usable Purchased Top-up balance (8.10 a).
a) The inactivity period starts at the latest of: the last activity of any Member (Puraite staff excluded), the creation of the Organization, and its last reactivation by Puraite.
b) After 30 days without activity, Puraite emails all active Members.
c) After 53 days, Puraite emails all active Members that the Organization will be frozen in 7 days.
d) After 60 days, the Organization is frozen. Members can still log in, view all data and export it. All other changes are refused. Puraite emails all active Members and names the date 30 days later on which the Organization will be archived.
e) 7 days before that date, Puraite emails all active Members again.
f) On that date (day 90), the Organization is archived. Members can no longer use it. Archiving does not delete Customer Content. For inactivity alone, permanent deletion takes place no earlier than 12 months after the start of inactivity under a), not 12 months after archiving. Puraite notifies Org admins and active Members of the deletion date at least 30 days beforehand and sends a reminder 7 days beforehand. Before deletion the Customer can request reactivation or an export without having to buy a paid plan. If the required notice has not been delivered, deletion is postponed to preserve the notice period. The DPA governs deletion and backups.
g) Any Member activity before the freeze restarts the period at day 0. A login alone does not end a freeze. On the Customer's request, Puraite reactivates a frozen or archived Organization at any time before its Customer Content is deleted.
h) If an agreed end date passes, the Organization is frozen as in d), with the same 30-day period before archiving; Puraite emails all active Members 7 days before the end date. Contract-end export and deletion follow section 14 and DPA 11.1; the inactivity-only deletion rule does not override an express deletion request or an ended contract.
7.7 Ending academic access. The Customer may end academic access at any time. Puraite may end it with 3 months' notice in text form, and at any time for good cause. Section 8.10 governs any Top-up balance.
8. Purchased Top-ups
8.1 Nature of a Top-up. Each Purchased Top-up is a separate entitlement under these Terms, with its own term (8.8). It is not part of the academic access and does not extend it. It can be used while access is active, including access reactivated to spend an institutional balance under 8.10(b). Consumers retain the access needed to spend their balance under the Consumer supplement.
8.2 Seller. Self-serve Top-ups are sold by Paddle.com Market Ltd, United Kingdom, or, for buyers in the United States, by Paddle.com Inc., and in Canada by Paddle.com (Canada) Ltd. ("Paddle"), as reseller and merchant of record. The Customer buys the Top-up from Paddle under Paddle's buyer terms. Paddle charges the price and VAT and issues the invoice. Puraite provides the Top-up usage under these Terms.
8.3 Direct Sale. If the Customer is a public body that cannot buy from Paddle, Puraite may sell it a Top-up directly. Puraite then issues the invoice, payable within 30 days net. The Top-up is otherwise subject to the same rules as an institutional Top-up bought through Paddle; where these Terms refer to a refund through Paddle, Puraite refunds to the Customer's bank account instead.
8.4 Who may buy. Billing Managers of academic Organizations may buy Top-ups. Organizations that are on trial, pending, frozen, archived or exempt from the Usage Budget cannot buy. Organizations with a paid license obtain additional usage through Puraite's sales contact.
8.5 Size and price. A Top-up is sold in packs of one, three or six months of the Organization's standard tier monthly AI budget on the purchase day, excluding discretionary budget overrides. The purchase summary records the fixed capacity and rate schedule. Later budget or plan changes do not resize or reprice a Top-up already bought. The purchase page shows the net price, which Paddle increases by any applicable VAT, and an example of the work a pack buys at that day's rates. Prices are shown in the Service and in the applicable offer. A new price applies only to later purchases.
8.6 How a Top-up is used, and rate lock.
a) An institutional Top-up is active from the time Puraite receives confirmation of payment. Consumer activation and the optional early start follow the Consumer supplement.
b) AI usage is drawn first from the monthly AI budget and any additions that end with the month, then from Purchased Top-ups, the one that expires first being used first.
c) Each Top-up is consumed at the usage rates (the consumption per unit of work for each AI function) in force on its purchase day, for its whole term. Later changes in AI provider prices or in Puraite's estimates do not change how much work a Top-up buys. Puraite retains the purchased capacity and versioned rate schedule with the purchase record so the commitment is auditable.
d) Usage drawn from a Top-up is final. A reset of the monthly usage does not restore a Top-up balance.
e) Members see the month's Usage Budget, including the available Top-up balance, as a percentage. Billing Managers see each Top-up's size, remaining share, price and expiry date.
8.7 Retired models. If an AI model stops being available after a purchase, because its provider retires it or for reasons of security or law, Puraite may replace it with a comparable model. The replacement costs the Customer nothing extra: work on the replacement is drawn from the Top-up at no more than the locked rate of the retired model. Puraite announces the replacement in the Service at least 14 days in advance or, if the provider gives less notice, as soon as Puraite learns of it.
8.8 Term. An institutional or company Top-up can be used for 24 months from activation. A consumer Top-up follows the expiry date in the Consumer supplement. Puraite reminds the Billing Managers 60 and 30 days before the end of the term. The term is limited because AI models and their costs change over time; the usage rates stay fixed for the whole term (8.6 c).
8.9 Unused share at the end of the term. The unused share is the price paid multiplied by the part of the Top-up not used. At the end of the term the unused share lapses without refund, unless a Billing Manager buys a new pack in the 30 days before the end of the term; the unused share is then deducted from the new pack's price. Puraite does not hold money balances or credit for the Customer.
8.10 Inactivity and end of access. A Top-up stays assigned to the Organization and keeps its own end date.
a) While the Organization holds a usable Top-up balance, it is not frozen or archived under the inactivity rules in 7.6.
b) If an institutional Customer voluntarily ends access or closes its workspace, the remaining Top-up does not lapse early. Puraite preserves the entitlement, original expiry and purchase-day rates, and on request reactivates the access needed to use it before expiry. This is not a promise to retain deleted research data: export and deletion follow section 14 and the DPA. A verified purchaser can request reactivation through support@puraite.com even if the old workspace is no longer accessible. This does not transfer the entitlement to another Customer. Termination for good cause because of Puraite retains the refund rights in 8.11(c).
c) If Puraite ends the access for any reason other than the Customer's breach, or discontinues the Service, Puraite has the unused share refunded without being asked.
d) If Puraite ends the access for good cause because of the Customer's breach, Puraite refunds the unused share minus the damage that Puraite proves it suffered from the breach.
8.11 No refunds for a change of mind. Purchases are final in the sense that Puraite does not refund a Top-up because the Customer no longer wants it. This does not limit:
a) a refund if the Top-up was not made available, could not be used, or was charged more than once;
b) the Customer's rights if the Service is defective or unavailable for a material time;
c) a refund of the unused share if the Customer ends the contract for good cause because of Puraite;
d) refunds under 8.9 and 8.10;
e) Puraite's liability under section 15;
f) the Customer's statutory right to avoid a declaration made by mistake.
Puraite may also refund the unused share, in whole or in part, as a goodwill gesture without any legal obligation, for example after an accidental purchase reported promptly.
8.12 Refunds and remaining usage. A full withdrawal or termination of a Top-up removes that pack's remaining entitlement. A refund for a specified quantity of unused usage removes only that quantity, identified in the refund confirmation. A price reduction, overcharge correction or goodwill compensation does not automatically remove unrelated usage. Puraite records the reason, amount and affected entitlement, and applies mandatory remedies even where they require a different outcome. A partial monetary refund alone is not grounds to cancel the entire pack.
For Paddle purchases Puraite submits refunds through Paddle; it does not refund the buyer directly without Paddle's authorization. Paddle may also grant refunds under its buyer terms. Direct Sale refunds are paid by Puraite. A payment-method processing limit does not limit statutory rights.
8.13 Payment disputes. If a payment for a Top-up is disputed with the card issuer or bank (chargeback), the Top-up's remaining balance cannot be used and the Organization cannot buy further Top-ups until the dispute is closed. If the dispute is decided in favour of Paddle or Puraite, the balance is restored. Otherwise the entitlement corresponding to the reversed payment is removed. For Paddle transactions Puraite supplies evidence through Paddle's dispute process, does not demand payment directly from the buyer for consumed usage, and bears the loss if recovery fails.
8.14 Late payment. If the Organization stops being eligible to buy while a payment is being processed, the Top-up is still added. It can be used once the Organization is usable again, or is refunded under 8.10.
8.15 No transfer. A Top-up cannot be transferred to another Organization or exchanged for money, except as set out in this section.
9. Paid licenses and Direct Sales
9.1 Paid licenses, custom licenses and other Direct Sales are agreed in an order form or offer accepted by both parties. It states the scope, price, term, payment terms and any service levels. These Terms apply to it unless the order form says otherwise.
9.2 Puraite invoices Direct Sales only to businesses and public bodies. Prices are net; VAT is added where it applies. The Subscription supplement governs Academic Pro and the Commercial plan. A by-hand institutional Top-up uses the written offer.
10. Customer Content
10.1 Ownership. The Customer keeps all rights in Customer Content. Puraite acquires no rights in it beyond those in 10.2.
10.2 Licence to Puraite. The Customer grants Puraite the non-exclusive right to store, copy, process and transmit Customer Content, including by sending it to AI providers, as needed to provide the Service to the Customer, for the term of the contract and the deletion periods in the DPA. The limited internal-evaluation permission in 10.5 applies separately.
10.3 Storage and AI processing region. Puraite's primary research-data storage is in EU data centres (currently Scaleway, Paris). AI processing is global by default and may involve processing and provider storage outside the EU. An Organization may instead have the EU AI Processing Region configured by Puraite. On that route, AI requests use verified EU endpoints; a feature without an eligible EU route is unavailable and must not silently fall back to global processing. The Organization's configured region and the applicable provider routes are identified in its data processing information. EU primary storage alone is not an EU-only processing promise. Provider retention, support, logs and other copies are described separately in the DPA and privacy notice.
10.4 Model training and retention. Puraite does not use Customer Content to train or fine-tune AI models under these Terms. Internal evaluation under 10.5 does not authorize model training. Puraite uses AI providers for Customer Content only under agreements excluding provider training on that content. This restriction does not mean that providers retain no data. Their retention periods and exceptions are described separately in the DPA.
10.5 Limited internal evaluation. Puraite may collect corrections and evaluation examples based on papers whose CC BY or CC0 status has been verified, solely to evaluate and improve the Service internally. Unknown or restricted licences are excluded. Private protocols, confidential research, full uploaded PDFs and material beyond the verified permission are excluded. Examples must not contain user, project or Organization identifiers or other identifying/confidential material. Publication source identifiers and required licence attribution may be retained.
For free academic Organizations this collection is enabled by default only after these terms are in effect for the Customer and the Org admin opt-out is available. Org admins can turn it off in Organization settings. Paid and trial Organizations are off by default and require an Org admin's explicit opt-in. The setting and license type at collection decide eligibility; a later opt-in or license change does not collect earlier content retrospectively. Moving to a paid or trial license stops default collection unless that Organization has explicitly opted in. An opt-out stops future collection; it does not promise deletion of already lawfully collected, non-identifying examples. A rights or deletion request can be sent to privacy@puraite.com.
The customer permission covers only rights the Customer may grant. It does not supply missing third-party rights or consent for identifiable personal data. Identifiable or confidential material must not enter this collection. Other reuse, including publication, marketing, case studies and model training, requires a separate prior written agreement and any other necessary permissions.
10.6 Usage data. Puraite records technical and usage data about the use of the Service, such as AI consumption per Member and project, run status, and audit logs. Puraite uses this data to operate, secure and bill the Service and to calculate estimates. Puraite may use it in aggregated form that identifies neither the Customer nor any person to improve the Service. Usage data does not include Customer Content.
10.7 Retention and deletion. Puraite keeps Customer Content while the Organization exists. Org admins can delete projects and data in the Service. The Customer may ask Puraite to delete its Organization and all Customer Content at any time. Puraite then deletes it, and does so also after the contract ends, within the periods set in the DPA.
10.8 Customer responsibilities. The Customer ensures that it may upload Customer Content and have it processed as described, including under copyright and data protection law. Section 12 applies.
11. AI output
11.1 AI functions produce suggestions, such as screening decisions, extracted values and reasons, for review by the Customer's researchers. AI output can be incomplete or wrong.
11.2 The Service is a research tool. It does not give medical advice and is not intended for diagnosing or treating patients.
11.3 The Customer is responsible for checking AI output before relying on it, and for the methods and conclusions of its research. Puraite does not owe a particular research result.
12. Acceptable use
12.1 The Customer and its Members must not:
a) upload content that infringes the rights of others or is unlawful;
b) upload special categories of personal data, in particular patient-level health data, unless agreed with Puraite in writing;
c) attempt to access other Organizations' data, bypass the Usage Budget or security measures, or place excessive load on the Service;
d) use the Service to build a commercial competing product, extract Puraite's proprietary prompts or models, or misappropriate its trade secrets. Academic methods research and benchmarking are permitted, including research on competing evidence-synthesis methods. This permission does not allow access to protected technology or other Customers' data, circumvention of security, or use of third-party material beyond its licence.
12.2 Puraite may restrict specific content or access where concrete indications of a breach make this necessary. Restrictions must be proportionate and limited to the affected content, feature or account as far as practicable. Urgent protective action may precede completion of the investigation.
12.3 Anyone may report suspected illegal content electronically to support@puraite.com. Include its precise location or identifier, the reasons it is considered illegal, supporting facts, a contact email and a statement that the report is made in good faith and is accurate and complete. Name and contact requirements are subject to applicable legal exceptions. Do not disclose private workspace content beyond what is needed to identify and investigate the report.
12.4 Puraite's designated support lead acknowledges reports without undue delay, coordinates a diligent and impartial investigation and involves the responsible director where needed. Puraite notifies the reporter of the decision and available review route. It gives affected Customers a clear explanation of restrictions, their scope and duration, material facts, contractual or legal basis, relevant use of automation and available redress, except where the law prohibits disclosure.
12.5 A reporter or affected Customer may challenge a decision through support@puraite.com, quoting the case reference and reasons. A staff member who did not make the original decision reviews it where practicable; Puraite corrects mistakes and communicates the outcome. This route does not limit judicial or other legally available remedies.
13. Availability and support
13.1 Puraite provides the Service with the care of a prudent provider and aims for high availability. Free academic access comes with no agreed availability level. Paid licenses may include service levels in the order form.
13.2 Puraite may interrupt the Service for maintenance. It announces planned maintenance in advance where possible and schedules it to limit disruption.
13.3 Support is available by email at support@puraite.com.
14. Data export and switching
14.1 The Customer may request a switch to another provider or its own systems, or erasure without switching, by contacting support@puraite.com. The notice period for initiating the process is no more than two months. A request may be made during an annual subscription; it need not wait for a contract anniversary. The parties identify the destination, affected services and requested date.
14.2 The Customer can export its data while access is active or frozen, and request retrieval from an archived workspace. The export covers Customer-provided and Customer-generated data and digital assets, including project/protocol content, publications and uploaded files, screening and extraction records, analyses, AI outputs, comments, decisions and related exportable metadata. The contract includes a dated Online Register specifying the exhaustive exportable categories, formats, structures, available methods and known technical limits. It also specifies any internal service data excluded to protect Puraite's trade secrets; exclusions must not obstruct switching.
The current Online Register, dated 2026-11-03 in its source, describes data categories, export formats and exclusions. For export or switching assistance, contact support@puraite.com.
14.3 After the notice period, Puraite supports switching without undue delay within 30 calendar days. It provides reasonable assistance to the Customer and authorized third parties, information needed for the exit strategy, continuity of contracted functions with due care, notice of known continuity risks, and security during transfer and subsequent retrieval. Both parties cooperate in good faith and agree the steps and evidence for completion.
14.4 If completing the transition within 30 days is technically infeasible, Puraite explains this within 14 working days of the request and specifies a justified alternative transition period of no more than seven months, maintaining continuity throughout. The Customer may extend the transition once for a period more appropriate to its purposes; Puraite records the revised dates.
14.5 The affected service contract ends when switching is successfully completed and Puraite notifies the Customer. If erasure without switching is requested, it ends at the end of the agreed notice period, no longer than two months. Puraite confirms the outcome and retrieval dates. Exportable data remain retrievable for at least 30 calendar days after the agreed transition ends (or after contract end for erasure without switching). A longer agreed period or an applicable legal right is respected. Once retrieval ends and switching, where requested, is complete, Puraite erases the exportable data and assets under DPA 11, including the stated backup/deletion periods. It does not delete data while an agreed transition or retrieval extension is running.
14.6 Puraite charges no switching fee. Regular service fees during the applicable service period and any separately disclosed, lawfully agreed early-termination charges are distinct from switching charges. This clause creates no new early-termination charge. Switching does not by itself promise a refund of all remaining annual fees; statutory remedies and applicable refunds remain unaffected. Remaining Top-ups follow 8.10 and Consumer C2.
15. Liability
15.1 Puraite is liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under a guarantee it has given, and wherever liability cannot be limited by law.
15.2 For simple negligence, Puraite is liable only for breach of an essential obligation. Essential obligations are those whose fulfillment makes the proper performance of the contract possible in the first place and on whose fulfillment the Customer may regularly rely, such as providing access to the Service and to Customer Content, protecting Customer Content against unauthorized access, and providing purchased Top-up usage. In that case liability is limited to the damage that was typical and foreseeable when the contract was concluded.
15.3 Under 15.2, Puraite's liability per contract year is further limited to the higher of the amounts paid for the Service in the preceding 12 months and EUR 10,000.
15.4 For purely free academic access, Puraite is liable only under 15.1. This exclusion does not apply to purchased Top-up usage, the access needed to use it, or the associated protection and availability of Customer Content; those obligations follow 15.1 to 15.3 even in a free academic Organization. Consumer protections remain governed by the Consumer supplement.
15.5 These limits also apply to the personal liability of Puraite's employees, representatives and agents.
16. Term and termination
16.1 The contract runs for an indefinite period. Paid licenses run for the term in the order form.
16.2 The Customer may end academic access at any time by deleting its Organization or by notice in text form to contact@puraite.com. Puraite may end it under 7.7.
16.3 Each party may terminate for good cause without notice.
16.4 After the contract ends, the Customer may export its data under 14. Customer Content is then deleted under the DPA. Section 8.10 governs Top-up balances.
17. Changes to these Terms
17.1 For institutional Customers, Puraite may make minor changes without express agreement only where necessary to reflect binding legal requirements, correct errors or clarify administrative procedures without materially reducing rights, increasing obligations or changing the agreed performance, data-use permissions or allocation of liability. Puraite gives at least six weeks' notice in text form, stating the reason and exact changes. Binding law applies on its own timetable.
17.2 The Customer may object before a permitted minor change takes effect. Puraite explains the objection process and the proposed effect of non-objection in the notice. An objection does not itself accept the change; the parties seek agreement, and existing termination rights remain. Fundamental changes, including changes to performance, data-use rights or liability, require the express agreement of an authorized Customer representative. Silence or a researcher's continued use does not accept them. The stricter consumer and paid-plan consent rules prevail.
17.3 Changes never alter the size, price, rates or term of a Top-up already bought.
18. Data protection
18.1 When Puraite processes personal data in Customer Content on the Customer's behalf, it does so as processor under the Data Processing Agreement ("DPA"), which forms part of these Terms.
18.2 Puraite processes billing, account and usage data for its own purposes as controller, as described in its privacy policy at https://puraite.com/privacy.
19. Governing law and jurisdiction
19.1 German law applies.
19.2 If the Customer is a merchant, a legal person under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from this contract is Bielefeld, Germany. Puraite may also sue the Customer at its general place of jurisdiction.
19.3 Purchases from Paddle are governed by the law and jurisdiction set out in Paddle's buyer terms.
20. Final provisions
20.1 Notices under these Terms may be given in text form (for example by email) unless these Terms say otherwise.
20.2 The Customer may transfer rights under this contract to third parties only with Puraite's consent.
20.3 If a provision is invalid, the rest of the Terms remain valid.
Read these Terms together with the Consumer supplement and Subscription supplement.
